Minutes of the Meeting of the Board of Directors

Board Directors Absent:

1. Oye Ajewole

A scheduled special meeting of the Board of Directors (the “Board”) of Artisan’s Asylum, Inc.  (“Artisans” or the “Corporation”) was held via Zoom on May 24, 2022 at 18:00 EDT. Tom Cole took a  role call and all the directors of the Board listed above were present with the exception of Oye Ajewole.  The meeting was then called to order at 18:04 EDT.

Executive Director Update

Tom explained the process and procedures for the filling of the Executive Director role, which requires:  (1) the Search Committee to conduct interviews and gather feedback to recommend a candidate; and (2)  the Board to vote on accepting or rejecting the candidate who was recommended.

The Search Committee then formally recommended candidate Antonio Viva for the role of Executive  Director to the Board. A robust discussion followed. The Board then collectively determined that the  matter of the election of the proposed candidate would be put forth to the Board via a subsequent written  consent.  

The Chairs of the Board then motioned to adjourn the meeting at 19:00 EDT and as there were no  objections the meeting was adjourned.
